Terms of Service

These Terms govern your use of the ADpilot platform. Read carefully - they constitute a legally binding agreement with ADpilot OÜ, registered in Tallinn, Estonia.

Important Notice

Please read these Terms of Service carefully before using ADpilot. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Your content. Your responsibility.

The Service is a content production tool. The engine drafts content based on your inputs, voice, and brand profile. You review, edit, approve, and publish that content through the Service. By approving any draft for publication, you confirm that the resulting content reflects your editorial judgment and is your content.

You are the author and publisher of all content produced through your Account. ADpilot OÜ is the operator of the production tool; it is not the author, publisher, or co-author of your content.

Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and ADpilot OÜ, a private limited company registered in Estonia (“ADpilot”, “we”, “us”, or “our”), governing your access to and use of the ADpilot platform, website, and all associated services (collectively, the “Service”).

By accessing or using the Service, you confirm that:

  • +You have read, understood, and agree to be bound by these Terms and our Privacy Policy;
  • +You are at least 18 years of age, or the age of legal majority in your jurisdiction;
  • +If you are using the Service on behalf of a company or organisation, you have the authority to bind that entity to these Terms;
  • +You comply with all applicable laws and regulations in your use of the Service.

These Terms were last updated on May 7, 2026. We may revise these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Definitions

The following definitions apply throughout these Terms:

Service
The ADpilot platform (registered with social media platforms, including Meta, as "ADpilot Engine"), including the web application at app.adpilot.ee, APIs, content generation engine, publishing automation, and all related tools and features.
Account
A registered user account granting access to the Service under a chosen Subscription Plan.
Brand
A content profile configured within the Service representing a business, product, or persona for which content is generated and published.
Content
Any text, images, videos, captions, blog posts, or other material generated, created, or published through the Service.
Subscription Plan
A paid or trial tier of access to the Service, as described in Section 5.
Add-On
An optional feature module purchasable in addition to a Subscription Plan.
Personal Data
Any information relating to an identified or identifiable natural person, as defined under the GDPR.
GDPR
The General Data Protection Regulation (EU) 2016/679, as implemented in Estonian law and applicable EU law.
Third-Party Services
External platforms, APIs, or providers integrated into the Service, including technology service providers and social media platforms.
Intellectual Property
All patents, trademarks, trade secrets, copyrights, database rights, and other proprietary rights.
Organisation
The entity or group of users associated with a single Account under a Business, Agency, or Unlimited plan.

Account Registration and Eligibility

3.1 Registration Requirements

To use the Service, you must create an Account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate.

3.2 Account Security

You are responsible for:

  • +Maintaining the confidentiality of your login credentials;
  • +All activity that occurs under your Account;
  • +Immediately notifying us at [email protected] of any unauthorised use or security breach.

ADpilot will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Business Accounts

If you register on behalf of a company or organisation, you represent and warrant that you have full authority to bind that entity to these Terms. The entity will be liable for all use of the Service under the Account.

3.4 Age Restriction

The Service is not intended for users under 18 years of age. By registering, you confirm that you meet this age requirement. We reserve the right to terminate accounts where we have reason to believe the user is under 18.

Free Trial

4.1 Trial Terms

ADpilot offers a 7-day free trial to new users. The trial provides full access to the features of the selected Subscription Plan for evaluation purposes.

4.2 No Credit Card Required

No credit card or payment information is required to start the free trial. At the end of the trial period, your Account will be placed in an inactive state unless you choose to upgrade to a paid Subscription Plan.

4.3 Trial Limitations

  • +Only one free trial is permitted per user or organisation;
  • +Creating multiple accounts to obtain additional free trials constitutes a breach of these Terms;
  • +We reserve the right to modify or discontinue the free trial at any time with notice.

4.4 Data Retention After Trial

Content and Brand data created during the trial will be retained for 30 days following the end of the trial period. After 30 days, data associated with inactive trial accounts may be permanently deleted. Upgrading to a paid plan at any point during or after the 30-day retention window will preserve your data.

Subscription Plans and Billing

5.1 Available Plans

Current plans and features are available at adpilot.ee. ADpilot reserves the right to modify plan features and pricing with 30 days’ notice.

5.2 Add-Ons

Optional Add-Ons may be purchased to extend the capabilities of any Subscription Plan. Add-Ons include but are not limited to: Video Engine (+€79/mo), Premium Voices (+€29/mo), Blog & SEO Suite (+€49/mo), Intelligence Pack (+€39/mo), Stock Media (+€19/mo), Extra Brand (+€19/brand/mo), and 4K Export (+€29/mo). Add-Ons are subject to the same billing and cancellation terms as Subscription Plans.

5.3 Billing Cycle

Subscriptions are billed monthly in advance on the date of plan activation. All prices are listed in Euro (EUR) and are exclusive of applicable taxes unless stated otherwise.

5.4 Failed Payments

If payment fails, we will attempt to collect payment up to three times over 7 days. If payment remains outstanding, we reserve the right to suspend or downgrade your Account.

5.5 Plan Changes

You may upgrade or downgrade your Subscription Plan at any time through your Account settings. Upgrades take effect immediately, with the cost difference prorated. Downgrades take effect at the start of the next billing cycle.

5.6 Taxes

You are responsible for all applicable taxes, duties, and levies. If ADpilot is required to collect VAT, it will be added to your invoice. EU businesses may provide a VAT number to have VAT reverse-charged under applicable EU law.

Refund Policy

6.1 General Refund Principle

ADpilot operates on a subscription basis. Because the Service provides immediate access to content production tools, publishing infrastructure, and third-party API consumption upon payment, all fees are generally non-refundable once a billing period has commenced.

6.2 Eligibility for Refunds

ADpilot will consider refund requests in the following circumstances:

  • +Service Outage: If the Service experiences a verified, continuous downtime exceeding 48 hours in any calendar month, you may request a pro-rated credit.
  • +Billing Error: If you were charged an incorrect amount due to a technical error, we will refund the difference promptly.
  • +Duplicate Charge: If you were charged more than once for the same billing period, the duplicate charge will be refunded in full.
  • +New Subscriber - 7-Day Satisfaction Window: First-time paid subscribers may request a full refund within 7 days of their first paid charge, provided they have not generated more than 50 pieces of Content.

6.3 Non-Refundable Items

  • +Monthly subscription fees for services already rendered in a completed billing period;
  • +Add-On charges where the Add-On has been used;
  • +Fees where the account was suspended or terminated due to a breach of these Terms;
  • +Any API usage costs incurred through third-party providers on your behalf;
  • +Charges relating to custom or enterprise integrations.

6.4 Requesting a Refund

To request a refund, contact us at [email protected] with the subject line “Refund Request” and include your account email, the charge date, amount, and reason. We will respond within 5 business days. Approved refunds will be processed within 10 business days.

6.5 Statutory Rights

Nothing in this refund policy limits your statutory rights under applicable consumer protection law, including rights available under Estonian law and EU consumer directives.

Acceptable Use Policy

7.1 Permitted Use

You may use the Service solely for lawful purposes and in accordance with these Terms. Permitted uses include generating and publishing content for legitimate marketing, communications, and business purposes.

7.2 Prohibited Activities

You agree not to use the Service to:

  • +Generate, publish, or distribute content that is unlawful, defamatory, obscene, fraudulent, threatening, or otherwise objectionable;
  • +Violate any third party's intellectual property, privacy, or other rights;
  • +Generate spam, unsolicited commercial communications, or bulk messaging;
  • +Create content designed to deceive, mislead, or manipulate consumers in violation of applicable advertising standards;
  • +Attempt to gain unauthorised access to the Service, other accounts, or related systems;
  • +Reverse-engineer, decompile, or disassemble any part of the Service;
  • +Use the Service to develop or train competing content production systems;
  • +Circumvent or attempt to circumvent any access controls, subscription limits, or feature gates;
  • +Use the Service to generate political propaganda, misinformation, or content intended to interfere with elections.

7.3 Content Responsibility

You are solely responsible for all Content generated, approved, and published through your Account. ADpilot provides tools to assist content creation but does not review or pre-approve Content before publication.

7.4 Enforcement

We reserve the right to investigate suspected violations and, at our discretion, suspend or terminate access, remove content, or cooperate with legal authorities.

Intellectual Property

8.1 ADpilot Intellectual Property

ADpilot and its licensors retain all rights, title, and interest in and to the Service, including all software, algorithms, models, interfaces, documentation, trade names, and trademarks. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely as permitted by these Terms.

8.2 Your Content and Brand Assets

You retain ownership of all Brand assets, logos, images, and other materials you upload to the Service. By uploading, you grant ADpilot a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and process your assets solely for the purpose of providing the Service.

8.3 Content Ownership

All Content you create, draft, edit, approve, and publish using the Service is owned by you. ADpilot makes no claim of ownership over your Content. Subject to your compliance with these Terms and payment of applicable fees, you are free to use, publish, modify, and commercialise the Content you produce through the Service without restriction from ADpilot.

You are the author and publisher of every piece of Content shipped through your Account. ADpilot is the operator of the production tool, not the author, publisher, or co-author of your Content.

8.4 Feedback

If you submit suggestions, feedback, or ideas about the Service, you grant ADpilot a perpetual, irrevocable, royalty-free licence to use, implement, and commercialise that Feedback without obligation to you.

8.5 Third-Party Content

The Service may incorporate royalty-free stock images, music, or video from third-party providers (including Pixabay and Pexels). Such content is subject to the respective licences of those providers.

Content Production - Disclaimer and User Responsibilities

9.1 Nature of Automated Drafts

Drafts produced through the Service may occasionally be:

  • +Inaccurate, incomplete, or factually incorrect;
  • +Similar to drafts produced for other users;
  • +Subject to evolving intellectual property law regarding automatically produced works;
  • +Inconsistent with your brand voice despite voice learning features.

9.2 User Responsibility for Review and Approval

Drafts produced by the Service are intermediate outputs. You review, edit, and approve every draft before publication; even when you enable automation (hands-free) publishing, you have configured the Service to act under your editorial standards and on your behalf. Your approval, whether explicit (manual review) or implicit (autopilot configuration), constitutes the moment at which a draft becomes your content.

By that act of approval, you affirm that the resulting Content reflects your editorial decisions, that you are the author and publisher of that Content, and that ADpilot OÜ is acting solely as a production tool on your behalf. ADpilot does not author, publish, or assume editorial responsibility for any Content you ship through the Service. The decision to publish, the choice of audience, and the choice of platform are yours; the consequences of that publication are yours.

9.3 No Guarantee of Originality

We cannot guarantee that drafts produced through the Service are wholly original or free from similarity to content produced by other systems or published elsewhere.

9.4 Legal Compliance

You are responsible for ensuring that all Content you publish through the Service complies with all applicable laws, including advertising regulations, copyright law, data protection law, and sector-specific regulations. ADpilot does not provide legal, financial, or regulatory advice.

Because Content produced through the Service becomes yours upon approval (manual or implicit), the responsibility for legal, regulatory, advertising-standard, and platform-policy compliance of that Content rests entirely with you, the author and publisher.

10

Third-Party Services and Integrations

10.1 Technology and Service Providers

The Service integrates with selected third-party technology and service providers to deliver content production, media processing, and related features. ADpilot acts as an intermediary and is not responsible for the output, availability, or changes in policy of these providers.

10.2 Social Media Platform Integration

Publishing features connect to third-party social media platforms including Instagram, Facebook, X (Twitter), LinkedIn, TikTok, Threads, Pinterest, WordPress, and others. Connection requires you to grant ADpilot permission to act on your behalf via their APIs. On these third-party platforms (including the Meta Developer Platform and equivalent developer portals operated by other providers), the application is registered and may appear under the name “ADpilot Engine”. ADpilot Engine and the ADpilot platform are the same Service operated by ADpilot OÜ.

10.3 Service Changes by Third Parties

Third-party platforms may modify, restrict, or withdraw their APIs at any time. ADpilot will endeavour to adapt to such changes but cannot guarantee uninterrupted publishing capability to all platforms.

Data Protection and GDPR

ADpilot OÜ is established in Estonia, a Member State of the European Union. The collection and processing of Personal Data is governed by the GDPR and the Estonian Personal Data Protection Act.

11.4 Personal Data We Collect

  • +Account Data: Name, email address, password (hashed), billing address, VAT number;
  • +Payment Data: Processed by our payment processor; we do not store full card details;
  • +Usage Data: Content generated, brands created, platform connections, feature usage, login history;
  • +Technical Data: IP address, browser type, device identifiers, cookies;
  • +Communications: Emails, support tickets, and feedback submitted to us.

11.6 Data Retention

  • +Active accounts: Data retained throughout the subscription period;
  • +Cancelled accounts: Account data retained for 90 days post-cancellation, then deleted or anonymised;
  • +Billing records: Retained for 7 years in accordance with Estonian accounting law;
  • +Trial accounts (inactive): Deleted after 30 days;
  • +Support communications: Retained for 3 years.

11.8 Your Data Subject Rights

Under the GDPR, you have the following rights:

  • +Right of Access (Art. 15): Request a copy of the Personal Data we hold about you;
  • +Right to Rectification (Art. 16): Request correction of inaccurate or incomplete data;
  • +Right to Erasure (Art. 17): Request deletion of your data;
  • +Right to Restriction (Art. 18): Request limitation of processing in certain circumstances;
  • +Right to Data Portability (Art. 20): Receive your data in a structured, machine-readable format;
  • +Right to Object (Art. 21): Object to processing based on legitimate interests or for direct marketing.

To exercise any of these rights, submit a written request to [email protected] or use our data subject request form. We will respond within 30 days. You also have the right to lodge a complaint with the Estonian Data Protection Inspectorate (Andmekaitse Inspektsioon) at www.aki.ee.

Privacy

Our full Privacy Policy, which forms part of these Terms, provides further detail on how we collect, use, share, and protect your Personal Data. Key principles:

  • +We do not sell your Personal Data to third parties;
  • +We do not use your Content to train automated systems for use by other customers without your consent;
  • +Your Brand data, voice profile, and generated Content remain private to your Organisation;
  • +We use third-party sub-processors only where necessary to provide the Service.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party. ADpilot will not disclose your Brand data, content strategies, or proprietary materials to third parties except as required to provide the Service or as required by law. You agree not to reverse-engineer or attempt to extract ADpilot’s proprietary algorithms, prompts, system configurations, or technology architecture.

Warranties and Disclaimers

ADpilot provides the Service on an “as is” and “as available” basis. We aim for high availability but do not warrant that the Service will be uninterrupted, error-free, or meet any specific performance standard.

ADpilot makes no warranty, express or implied, regarding the accuracy, completeness, fitness for purpose, originality, or legal compliance of any drafts or Content produced through the Service. Nothing in this section limits your statutory rights as a consumer under applicable EU or Estonian consumer protection law.

Limitation of Liability

To the fullest extent permitted by applicable law, ADpilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including loss of profits, loss of data, loss of goodwill, or business interruption.

ADpilot’s total liability shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

These limitations do not apply to liability for death or personal injury caused by negligence, fraud, or liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless ADpilot OÜ, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

  • +Your use of the Service in breach of these Terms;
  • +Content you generate, approve, or publish through the Service;
  • +Your violation of any applicable law or third-party rights;
  • +Your breach of any representations or warranties under these Terms.

Termination

17.1 Termination by You

You may cancel your Subscription at any time through your Account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period.

17.2 Termination by ADpilot

ADpilot may suspend or terminate your Account immediately if:

  • +You breach any provision of these Terms;
  • +We are required to do so by law;
  • +We reasonably believe your use poses a risk to the Service, other users, or third parties;
  • +You engage in fraudulent activity or non-payment.

In non-urgent cases, we will provide 14 days’ notice and allow you to remedy any breach.

17.3 Effect of Termination

Upon termination:

  • +Your access to the Service will cease;
  • +Your data will be handled in accordance with the Data Retention policy;
  • +Content already published to third-party platforms will remain subject to your own removal;
  • +Clauses that by their nature should survive termination will do so (Sections 8, 9, 11, 14, 15, 16).

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia. Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at [email protected].

If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia. If you are a consumer in the EU, you retain any mandatory rights to bring proceedings in your country of residence.

EU consumers may access the EU Online Dispute Resolution (ODR) platform at: ec.europa.eu/consumers/odr.

Force Majeure

ADpilot shall not be liable for any failure or delay in the performance of the Service caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemic, government action, failure of internet infrastructure, cyberattacks, power outages, or actions of third-party service providers.

Changes to These Terms

ADpilot reserves the right to modify these Terms at any time. We will provide notice of material changes by:

  • +Sending an email to the address associated with your Account at least 30 days before the changes take effect;
  • +Displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance.

General Provisions

Entire Agreement
These Terms, together with the Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and ADpilot with respect to the Service.
Severability
If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver
A failure to exercise or enforce any right does not constitute a waiver of such right.
Assignment
You may not assign your rights without ADpilot’s prior written consent. ADpilot may assign these Terms in connection with a merger, acquisition, or sale of assets.
Language
These Terms are written in English. In the event of conflict with a translation, the English version prevails.

All legal notices to ADpilot must be sent to [email protected]. ADpilot may send notices to the email address associated with your Account.
